1. INTRODUCTION
These Terms and Conditions govern your Corporate Partnership with Psychosocial Safety and Leadership Institute Pty Ltd (ABN 39 688 498 008) ("the Institute", "we", "us", "our").
By subscribing to a Corporate Partnership, you ("the Partner", "you", "your") agree to be bound by these Terms and Conditions in full. If you do not agree to these terms, you must not proceed with the partnership.
The Institute operates across Australia and is governed by the laws of New South Wales.
2. NATURE OF PARTNERSHIP
2.1 A Corporate Partnership is a subscription-based commercial relationship that provides access to benefits, services and opportunities as outlined in your partnership proposal.
2.2 Corporate Partnership:
Is not a membership under the Associations Incorporation Act
Does not confer ownership rights, voting rights or governance participation in the Institute
Is a subscription service for the duration of the paid term only
Is non-transferable without written consent from the Institute
2.3 Access to partnership benefits is granted for the subscription period and may be modified as outlined in Section 10.
3. SUBSCRIPTION AND PAYMENT TERMS
3.1 Subscription Model: Corporate Partnerships operate on an annual subscription basis unless otherwise agreed in writing.
3.2 Payment:
Payment is processed via Stripe or other payment processors approved by the Institute
All fees are in Australian Dollars (AUD) and include GST where applicable
Payment is due upon acceptance of the partnership proposal unless alternative arrangements are agreed in writing
3.3 Automatic Renewal:
Your subscription will automatically renew annually on your renewal date
You will be notified at least 30 days before your renewal date
Your nominated payment method will be charged automatically unless you cancel prior to the renewal date
You can cancel automatic renewal at any time by written notice to [email protected]
3.4 Price Changes:
We reserve the right to adjust partnership pricing
You will be notified of any price changes at least 60 days before they take effect
Price changes will apply from your next renewal date
If you do not accept the new pricing, you may cancel your partnership before the renewal date
3.5 Failed Payments:
If payment fails, we will attempt to process payment again
Your access may be suspended until payment is successful
If payment remains unsuccessful after reasonable attempts, your partnership may be terminated
4. PARTNER ENTITLEMENTS AND BENEFITS
4.1 Partnership benefits are as specified in your partnership proposal and may include:
Profile listing in the Corporate Partner Directory (accessible to Community members)
Quarterly partner connection sessions
Opportunities to host workshops for Community members
Features in the Institute's magazine, newsletter and social media
Access to the Collective Hub including resources, events calendar and partner chat
Opportunities to submit content for blogs, magazine features and events
Training promotion and referral commissions where applicable
4.2 All benefits are clearly outlined in your partnership proposal at the point of purchase.
4.3 The Institute reserves the right to modify, update or improve partnership benefits. Material changes will be communicated to Partners with reasonable notice.
4.4 Some benefits (such as workshop hosting, magazine features, blog contributions and sponsorship opportunities) are based on expression of interest and approval, not automatic entitlement. The Institute retains discretion to approve or decline proposals for these opportunities based on relevance, quality and alignment with the Institute's values and standards.
5. PARTNER OBLIGATIONS AND CONDUCT
5.1 Partners must:
Conduct themselves professionally and ethically in all interactions with the Institute, Community members and other Partners
Uphold psychosocial safety principles and practices in their own business operations
Accurately represent their services, qualifications and experience
Not misrepresent their relationship with or endorsement by the Institute
Comply with all applicable laws and professional standards
Respect the intellectual property rights of the Institute and other Partners
5.2 Partners must not:
Harass, spam or engage in unsolicited sales approaches to Community members or other Partners
Use Institute platforms primarily for direct sales or aggressive marketing
Share login credentials or provide unauthorized third-party access to partnership benefits
Copy, reproduce, resell or redistribute Institute materials without written consent
Use Institute content to develop competing products, services or educational offerings
Engage in conduct that brings the Institute into disrepute
Discriminate against or engage in conduct harmful to any person
5.3 The Institute is committed to maintaining psychosocially safe environments. Partners who breach these conduct requirements or engage in behavior contrary to psychosocial safety principles may have their partnership suspended or terminated in accordance with Section 8.
6. CANCELLATION AND REFUNDS
6.1 Partner-Initiated Cancellation:
You may cancel your partnership at any time by providing written notice to [email protected]
Cancellation takes effect at the end of your current paid subscription period unless otherwise agreed
You will retain access to partnership benefits until the end of your paid period
No refunds will be provided for the unused portion of your subscription period except as required by Australian Consumer Law
6.2 Institute-Initiated Cancellation:
We reserve the right to suspend or terminate your partnership immediately for breach of these Terms and Conditions, including but not limited to:
Breach of conduct requirements in Section 5
Non-payment of subscription fees
Misrepresentation of services or qualifications
Behavior contrary to psychosocial safety principles
Legal or regulatory violations
6.3 Refunds:
Refunds are not automatically provided upon cancellation
Refund requests will be assessed on a case-by-case basis considering:
Time elapsed in the subscription period
Extent of access to and use of partnership benefits
Reason for cancellation
Any breach of these Terms and Conditions
Nothing in this clause limits your rights under Australian Consumer Law, including your rights to a refund where we have failed to provide services with acceptable quality or as described
6.4 Effect of Termination:
Upon termination or non-renewal, your profile will be removed from the Corporate Partner Directory
You will lose access to the Collective Hub and all partnership benefits
Any content you have contributed (such as blog posts, videos or resources) may remain on Institute platforms at the Institute's discretion
Outstanding obligations (including payment obligations) survive termination
7. INTELLECTUAL PROPERTY
7.1 Institute IP:
All Institute content, including but not limited to frameworks, tools, resources, branding, website content, course materials and publications remain the intellectual property of Psychosocial Safety and Leadership Institute Pty Ltd
Partners receive a limited, non-exclusive, non-transferable licence to access and use Institute materials solely for their internal business purposes during the partnership term
7.2 Permitted Use:
Use materials for personal learning or internal organizational development
Reference Institute content with appropriate attribution in the format: "Source: Psychosocial Safety and Leadership Institute"
7.3 Prohibited Use:
Modify, adapt, translate or create derivative works from Institute materials
Distribute, publish, broadcast or make available Institute materials to third parties
Remove or alter copyright notices, trademarks or other proprietary rights notices
Use Institute materials to create competing products or services
7.4 Partner IP:
You retain ownership of all content, materials and intellectual property you provide to the Institute (such as workshop content, articles, resources, logos and images)
By providing content to the Institute, you grant us a non-exclusive, royalty-free, worldwide licence to use, reproduce, distribute, display and promote your content across Institute platforms (including but not limited to the website, magazine, newsletters, social media and events) for the duration of your partnership and for a reasonable period thereafter for archival purposes
7.5 Feedback and Suggestions:
Any feedback, suggestions or ideas you provide about the Institute's services become the property of the Institute and may be used without compensation
8. CONSUMER GUARANTEES AND LIABILITY
8.1 Consumer Guarantees:
Nothing in these Terms and Conditions excludes, restricts or modifies any consumer guarantees, rights or remedies under the Australian Consumer Law or other applicable laws that cannot be excluded, restricted or modified by agreement
The Institute provides services with due care and skill and services that are reasonably fit for any disclosed purpose
8.2 Liability Limitations:
To the maximum extent permitted by law, the Institute's total liability to you for any loss or damage arising from or in connection with these Terms and Conditions or the partnership is limited to:
Re-supply of the services, or
Payment of the cost of having the services supplied again, or
A refund of fees paid for the affected subscription period
8.3 Exclusion of Consequential Loss:
To the maximum extent permitted by law, the Institute is not liable for any indirect, incidental, special or consequential loss or damage, including but not limited to:
Loss of profits, revenue, business opportunities or contracts
Loss of or corruption to data
Loss of goodwill or reputation
Any losses arising from business decisions made based on Institute content or advice
8.4 No Professional Advice:
The Institute does not provide medical, psychological, legal or financial advice
All content provided through the partnership is educational and professional development in nature
Engagement with the Institute does not establish a therapeutic, legal or advisory relationship
Partners are responsible for their own professional judgment and decisions
The Institute is not liable for decisions made or actions taken based on content accessed through the partnership
8.5 Third-Party Content and Services:
The Institute may provide access to third-party content, services or websites
The Institute is not responsible for the accuracy, quality or legality of third-party content or services
Your use of third-party services is governed by their own terms and conditions
9. PRIVACY AND DATA PROTECTION
9.1 The Institute collects, uses and stores your personal information in accordance with the Australian Privacy Principles under the Privacy Act 1988 (Cth) and our Privacy Policy available at www.psychosocialsafety.institute.
9.2 By entering into this partnership, you consent to:
Collection of your personal and business information for the purpose of providing partnership services
Use of your information for marketing Institute services and events
Disclosure of your business information in the Corporate Partner Directory (accessible to Community members)
Use of your name, business name, logo and content in Institute promotional materials
9.3 You may request access to, correction of, or deletion of your personal information by contacting [email protected], subject to our obligations to retain certain information for legal and business purposes.
9.4 We will never sell your personal information to third parties.
10. CHANGES TO TERMS AND SERVICES
10.1 Changes to Terms:
The Institute may update these Terms and Conditions from time to time
We will notify you of material changes via email at least 30 days before they take effect
Continued use of partnership services after changes take effect constitutes acceptance of the updated terms
If you do not accept the changes, you may cancel your partnership in accordance with Section 6
10.2 Changes to Services:
The Institute may modify, update, improve or discontinue partnership benefits and services
We will provide reasonable notice of material changes that may negatively impact your partnership
Changes are made to enhance service delivery, comply with legal requirements or respond to market conditions
11. DISPUTE RESOLUTION
11.1 Informal Resolution:
If you have a concern or dispute, please contact us at [email protected]
We are committed to resolving issues informally and in good faith
Most concerns can be resolved through open communication
11.2 Formal Disputes:
If informal resolution is unsuccessful, disputes will be handled in accordance with the laws of New South Wales, Australia
You may also contact NSW Fair Trading or the Australian Competition and Consumer Commission (ACCC) for assistance
11.3 Governing Law:
These Terms and Conditions are governed by the laws of New South Wales, Australia
The parties submit to the exclusive jurisdiction of the courts of New South Wales
12. GENERAL PROVISIONS
12.1 Entire Agreement:
These Terms and Conditions, together with your partnership proposal and the Institute's Privacy Policy, constitute the entire agreement between you and the Institute
12.2 Severability:
If any provision of these Terms and Conditions is found to be invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force
12.3 Waiver:
Failure by the Institute to enforce any right or provision of these Terms and Conditions does not constitute a waiver of that right or provision
12.4 Assignment:
You may not assign or transfer your partnership without the Institute's written consent
The Institute may assign these Terms and Conditions to a successor entity
12.5 Notices:
All notices must be in writing and sent to:
For the Institute: [email protected]
For Partners: The email address provided in your partnership application
Notices are deemed received when sent via email (if sent during business hours) or the next business day (if sent outside business hours)
12.6 Force Majeure:
Neither party is liable for failure to perform obligations due to circumstances beyond reasonable control, including but not limited to natural disasters, pandemics, government actions, telecommunications failures or industrial disputes
13. DEFINITIONS
"Australian Consumer Law" or "ACL" means Schedule 2 of the Competition and Consumer Act 2010 (Cth).
"Community" means individual members of the Psychosocial Safety and Leadership Institute who have subscribed to Community Membership.
"Collective Hub" means the online platform where Corporate Partners access resources, benefits and engage with other Partners.
"Corporate Partner Directory" means the online directory of Corporate Partners accessible to Community members.
"Institute Content" means all content, materials, resources and intellectual property created by or licensed to the Institute.
"Partner" means the organization that has entered into a Corporate Partnership with the Institute.
"Partnership Proposal" means the customized proposal document outlining the specific terms, pricing and benefits of your Corporate Partnership.
14. ACKNOWLEDGMENT
By proceeding with your Corporate Partnership, you acknowledge that:
You have read and understood these Terms and Conditions
You agree to be bound by these Terms and Conditions
You have had the opportunity to seek independent legal advice
You understand your rights under Australian Consumer Law
