1. INTRODUCTION
These Terms and Conditions govern your Community Membership with Psychosocial Safety and Leadership Institute Pty Ltd (ABN 39 688 498 008) ("the Institute", "we", "us", "our").
By subscribing to a Community Membership, you ("the Member", "you", "your") agree to be bound by these Terms and Conditions in full. If you do not agree to these terms, you must not proceed with the membership.
The Institute operates across Australia and is governed by the laws of New South Wales.
2. NATURE OF COMMUNITY MEMBERSHIP
2.1 A Community Membership is a subscription-based service that provides access to professional development resources, peer learning opportunities and Institute content for individual professional growth.
2.2 Community Membership:
Is not a membership under the Associations Incorporation Act
Does not confer ownership rights, voting rights or governance participation in the Institute
Is a subscription service for the duration of the paid term only
Is non-transferable without written consent from the Institute.
2.3 Community Membership is designed for individual professionals seeking personal and professional development in psychosocial safety. It is not designed for individuals or organisations seeking to promote, market or sell their services to other members.
3. SUBSCRIPTION AND PAYMENT TERMS
3.1 Subscription Model: Community Memberships operate on an annual subscription basis unless otherwise agreed in writing.
3.2 Payment:
Payment is processed via Stripe or other payment processors approved by the Institute
All fees are in Australian Dollars (AUD) and include GST where applicable
Payment is due upon acceptance of membership unless alternative arrangements are agreed in writing.
3.3 Automatic Renewal:
Your subscription will automatically renew annually on your renewal date
You will be notified at least 30 days before your renewal date
Your nominated payment method will be charged automatically unless you cancel prior to the renewal date
You can cancel automatic renewal at any time by written notice to [email protected]
3.4 Price Changes:
We reserve the right to adjust membership pricing
You will be notified of any price changes at least 60 days before they take effect
Price changes will apply from your next renewal date
If you do not accept the new pricing, you may cancel your membership before the renewal date
3.5 Failed Payments:
If payment fails, we will attempt to process payment again
Your access may be suspended until payment is successful
If payment remains unsuccessful after reasonable attempts, your membership may be terminated
4. MEMBER ENTITLEMENTS AND BENEFITS
4.1 Membership benefits are as specified in your membership confirmation and may include:
Access to the Community Hub including resources, forums and peer discussions
Professional development content and tools
Invitations to Community events and workshops
Monthly newsletters and updates
Access to recordings of past events and training sessions.
4.2 All benefits are clearly outlined at the point of purchase.
4.3 The Institute reserves the right to modify, update or improve membership benefits. Material changes will be communicated to Members with reasonable notice.
4.4 Some benefits (such as event attendance, workshop participation or special programs) may be subject to capacity limits or additional terms.
5. COMMUNITY MEMBERSHIP VS COLLECTIVE
MEMBERSHIP
5.1 The Institute operates two distinct membership types:
Community Membership: For individual professionals seeking personal development and peer learning.
Collective Membership (Corporate Partnership): For businesses, consultants, service providers and organisations who wish to promote their services, access business development opportunities and connect with the Community for commercial purposes.
5.2 Community Members must not:
Use the Community platform primarily for commercial purposes
Promote, market or sell products or services to other Community Members
Use Community Member contact details or access for business development or client acquisition
Extract resources, tools or frameworks for commercial use or resale.
5.3 If the Institute determines that a Community Member is operating in a manner more appropriate to Collective Membership, we will:
Contact the Member to discuss their activities and membership category
Provide the option to upgrade to Collective Membership to access appropriate commercial benefits
If the Member declines to upgrade but continues commercial activity, the Institute reserves the right to suspend or terminate Community Membership in accordance with Section 8.
6. MEMBER OBLIGATIONS AND CONDUCT
6.1 All Members must:
Conduct themselves in accordance with the Institute's Code of Ethics
Uphold psychosocial safety principles in all interactions with other Members and Institute staff
Treat all Members, Institute staff and partners with respect and professionalism
Accurately represent their qualifications, experience and affiliations
Comply with all applicable laws and professional standards
Respect the intellectual property rights of the Institute and other Members
Maintain confidentiality of other Members' personal information and contributions.
6.2 Members must not:
Engage in behaviour that breaches the Institute's Code of Ethics
Harass, bully, discriminate against or engage in harmful conduct toward any person
Send unsolicited sales messages, spam or marketing communications to other Community Members
Direct message Community Members with sales pitches, promotional content or business solicitations
Post promotional content, advertisements or commercial offerings in Community forums, chat or discussion spaces
Use Community Member contact details, email addresses or personal information for marketing, sales or business development purposes
Share login credentials or provide unauthorised third-party access to membership benefits
Copy, reproduce, resell or redistribute Institute materials without written consent
Use Institute content, tools, resources or frameworks for commercial purposes, including consulting, training delivery or product development
Remove or alter copyright notices, trademarks or other proprietary rights notices
Misrepresent their relationship with or endorsement by the Institute
Engage in conduct that brings the Institute into disrepute.
6.3 The Institute is committed to maintaining psychosocially safe environments. Members who breach these conduct requirements may have their membership suspended or terminated in accordance with Section 8.
7. INTELLECTUAL PROPERTY AND PERMITTED USE
7.1 Institute IP:
All Institute content, including frameworks, tools, resources, branding, website content, training materials and publications remain the intellectual property of Psychosocial Safety and Leadership Institute Pty Ltd or the relevant Corporate Partner
Members receive a limited, non-exclusive, non-transferable licence to access and use Institute materials solely for their personal professional development during the membership term.
7.2 Permitted Use:
Use materials for personal learning and professional development
Apply concepts and principles in your own workplace for non-commercial purposes
Reference Institute content with appropriate attribution in the format: "Source: Psychosocial Safety and Leadership Institute" or relevant Corporate Partner.
7.3 Prohibited Use:
Modify, adapt, translate or create derivative works from Institute materials
Distribute, publish, broadcast or make available Institute materials to third parties
Use Institute materials to deliver training, consulting services or workshops to external clients
Package, rebrand or incorporate Institute content into commercial products or services
Use Institute tools, frameworks or resources as the basis for competing products, services or offerings
Remove or alter copyright notices, trademarks or other proprietary rights notices.
7.4 Feedback and Contributions:
Any feedback, suggestions, ideas or contributions you provide about the Institute's services become the property of the Institute and may be used without compensation
If you share content, resources or materials in Community forums, you grant the Institute a non-exclusive licence to use that content across Institute platforms.
8. MEMBERSHIP SUSPENSION AND TERMINATION
8.1 Member-Initiated Cancellation:
You may cancel your membership at any time by providing written notice to [email protected]
Cancellation takes effect at the end of your current paid subscription period unless otherwise agreed
You will retain access to membership benefits until the end of your paid period
No refunds will be provided for the unused portion of your subscription period except as required by Australian Consumer Law.
8.2 Institute-Initiated Suspension or Termination:
The Institute reserves the right to suspend or terminate your membership immediately for:
Breach of these Terms and Conditions
Breach of the Institute's Code of Ethics
Harmful conduct including harassment, bullying, discrimination or behaviour contrary to psychosocial safety principles
Commercial activity or promotional behaviour inappropriate for Community Membership
Misrepresentation of qualifications, services or affiliations
Misuse of Institute intellectual property
Non-payment of subscription fees
Legal or regulatory violations.
8.3 Process for Breach:
For minor or first-time breaches, the Institute will typically contact the Member to discuss the issue, provide education about expectations and follow up in writing
For serious breaches (including harassment, discrimination, serious safety concerns or repeated violations), the Institute may take immediate action to suspend or terminate membership without prior warning
All suspension and termination decisions are made at the sole discretion of the Institute.
8.4 Migration to Collective Membership:
If a Community Member is engaged in commercial activity, the Institute will contact the Member to discuss upgrading to Collective Membership
If the Member agrees to upgrade, any unused funds from the Community Membership may be applied toward the Collective Membership fee
If the Member declines to upgrade but continues commercial activity, membership may be terminated in accordance with Section 8.2.
8.5 Refunds:
No refunds will be provided for memberships terminated due to breach of these Terms and Conditions
In cases of membership migration from Community to Collective, unused Community Membership funds may be applied toward the Collective Membership investment
Nothing in this clause limits your rights under Australian Consumer Law, including your rights to a refund where we have failed to provide services with acceptable quality or as described.
8.6 Effect of Termination:
Upon termination or non-renewal, you will lose access to the Community Hub and all membership benefits
Any content you have contributed (such as forum posts, resources or comments) may remain on Institute platforms at the Institute's discretion
Outstanding obligations (including payment obligations) survive termination
You must immediately cease all use of Institute intellectual property and delete any saved materials.
9. CONSUMER GUARANTEES AND LIABILITY
9.1 Consumer Guarantees:
Nothing in these Terms and Conditions excludes, restricts or modifies any consumer guarantees, rights or remedies under the Australian Consumer Law or other applicable laws that cannot be excluded, restricted or modified by agreement
The Institute provides services with due care and skill and services that are reasonably fit for any disclosed purpose.
9.2 Liability Limitations:
To the maximum extent permitted by law, the Institute's total liability to you for any loss or damage arising from or in connection with these Terms and Conditions or the membership is limited to:
Re-supply of the services, or
Payment of the cost of having the services supplied again, or
A refund of fees paid for the affected subscription period.
9.3 Exclusion of Consequential Loss:
To the maximum extent permitted by law, the Institute is not liable for any indirect, incidental, special or consequential loss or damage, including but not limited to:
Loss of profits, revenue, business opportunities or contracts
Loss of or corruption to data
Loss of goodwill or reputation
Any losses arising from business decisions made based on Institute content or advice.
9.4 No Professional Advice:
The Institute does not provide medical, psychological, legal or financial advice
All content provided through the membership is educational and professional development in nature
Engagement with the Institute does not establish a therapeutic, legal or advisory relationship
Members are responsible for their own professional judgment and decisions
The Institute is not liable for decisions made or actions taken based on content accessed through the membership.
9.5 Third-Party Content and Services:
The Institute may provide access to third-party content, services or websites
The Institute is not responsible for the accuracy, quality or legality of third-party content or services
Your use of third-party services is governed by their own terms and conditions.
10. PRIVACY AND DATA PROTECTION
10.1 The Institute collects, uses and stores your personal information in accordance with the Australian Privacy Principles under the Privacy Act 1988 (Cth) and our Privacy Policy available at www.psychosocialsafety.institute
10.2 By entering into this membership, you consent to:
Collection of your personal information for the purpose of providing membership services
Use of your information for marketing Institute services and events
Inclusion of your name and professional details in the Community Member directory (accessible only to other verified Members)
10.3 You may request access to, correction of, or deletion of your personal information by contacting [email protected], subject to our obligations to retain certain information for legal and business purposes.
10.4 We will never sell your personal information to third parties.
10.5 Other Community Members do not have permission to use your contact details for marketing or commercial purposes. If you receive unsolicited commercial communications from another Member, please report this to [email protected].
11. CHANGES TO TERMS AND SERVICES
11.1 Changes to Terms:
The Institute may update these Terms and Conditions from time to time
We will notify you of material changes via email at least 30 days before they take effect
Continued use of membership services after changes take effect constitutes acceptance of the updated terms
If you do not accept the changes, you may cancel your membership in accordance with Section 8.1.
11.2 Changes to Services:
The Institute may modify, update, improve or discontinue membership benefits and services
We will provide reasonable notice of material changes that may negatively impact your membership
Changes are made to enhance service delivery, comply with legal requirements or respond to member needs and market conditions.
12. DISPUTE RESOLUTION
12.1 Informal Resolution:
If you have a concern or dispute, please contact us at [email protected]
We are committed to resolving issues informally and in good faith
Most concerns can be resolved through open communication.
12.2 Formal Disputes:
If informal resolution is unsuccessful, disputes will be handled in accordance with the laws of New South Wales, Australia
You may also contact NSW Fair Trading or the Australian Competition and Consumer Commission (ACCC) for assistance.
12.3 Governing Law:
These Terms and Conditions are governed by the laws of New South Wales, Australia
The parties submit to the exclusive jurisdiction of the courts of New South Wales.
13. GENERAL PROVISIONS
13.1 Entire Agreement:
These Terms and Conditions, together with your membership confirmation and the Institute's Privacy Policy and Code of Ethics, constitute the entire agreement between you and the Institute
13.2 Severability:
If any provision of these Terms and Conditions is found to be invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force
13.3 Waiver:
Failure by the Institute to enforce any right or provision of these Terms and Conditions does not constitute a waiver of that right or provision
13.4 Assignment:
You may not assign or transfer your membership without the Institute's written consent
The Institute may assign these Terms and Conditions to a successor entity
13.5 Notices:
All notices must be in writing and sent to:

For Members: The email address provided in your membership application
Notices are deemed received when sent via email (if sent during business hours) or the next business day (if sent outside business hours).
13.6 Force Majeure:
Neither party is liable for failure to perform obligations due to circumstances beyond reasonable control, including but not limited to natural disasters, pandemics, government actions, telecommunications failures or industrial disputes.
14. DEFINITIONS
"Australian Consumer Law" or "ACL" means Schedule 2 of the Competition and Consumer Act 2010 (Cth).
"Code of Ethics" means the Institute's Code of Ethics as published on the Institute website and updated from time to time.
"Collective Membership" or "Corporate Partnership" means the Institute's corporate partnership program designed for businesses, consultants, service providers and organisations seeking to promote their services and access commercial opportunities.
"Community" means the collective group of Community Members.
"Community Hub" means the online platform where Community Members access resources, participate in forums and engage with other Members.
"Community Member Directory" means the online directory of Community Members accessible only to other verified Community Members.
"Institute Content" means all content, materials, resources and intellectual property created by or licensed to the Institute.
"Member" means an individual who has subscribed to Community Membership with the Institute.
15. ACKNOWLEDGMENT
By proceeding with your Community Membership, you acknowledge that:
You have read and understood these Terms and Conditions
You agree to be bound by these Terms and Conditions
You have had the opportunity to seek independent legal advice
You understand your rights under Australian Consumer Law
You understand the distinction between Community Membership and Collective Membership
You agree to conduct yourself in accordance with the Institute's Code of Ethics
You will not engage in commercial, promotional or sales activity within the Community.
